These Terms of Service ("Terms") govern your use of quantumperformancesolutions.com (the "Site") and the services offered by Quantum Performance Solutions ("QPS," "we," "us," or "our"), which operates from Orlando, Florida, USA and Kingston, Jamaica.
By using the Site, submitting a form or application, booking a call, making a payment, or taking part in a QPS program, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or our services.
If you accept these Terms for an organization, you confirm you have authority to bind it, and "you" includes that organization. A signed proposal, statement of work or service agreement with QPS (a "Service Agreement") takes priority over these Terms where the two conflict.
Eligibility. You must be at least 18 years old and able to form a binding contract to use our services.
QPS provides performance services to individuals and organizations, delivered virtually, in person or in hybrid formats:

The scope, schedule and deliverables of a paid engagement are set out on the Site at the time of purchase or in your Service Agreement.
Bookings and applications. Booking a discovery or strategy call, submitting an intake form, or applying to the Entrepreneur Performance program does not create a paid engagement. QPS may accept or decline any application at its discretion. An engagement begins only when you pay through our checkout or sign a Service Agreement.
Accuracy of information. You agree that the information you give us in forms, applications and assessments is accurate and complete. Our recommendations rely on it.
Pricing. Prices are listed on the Site or in your Service Agreement, in U.S. dollars, and exclude applicable taxes. Custom organizational programs are priced by written proposal. We may change listed prices at any time, but changes do not affect an engagement you have already paid for.
Payment processing. Online payments are processed by Stripe, Inc. By paying, you also agree to Stripe's terms. QPS does not store your full card details.

Rescheduling and missed sessions. You may reschedule a session with at least 24 hours' notice. Sessions missed or cancelled with less notice may be forfeited and count as delivered. If QPS must reschedule, we will offer a new time at no cost to you.
Late or failed payments. If a payment fails or an invoice is more than 15 days overdue, we may pause services until the account is brought current.
Chargebacks. Please contact us before disputing a charge with your bank. We will work with you to resolve billing issues quickly.
Your part. Results depend on your participation. You agree to attend sessions, complete agreed actions, give us timely access to the people and information we need, and tell us promptly about changes that affect the engagement.
Not therapy, medical, legal or financial advice. Coaching and consulting are not psychotherapy, counseling or medical treatment, and do not replace them. Our work draws on neuroscience and behavioral psychology, but QPS does not diagnose or treat any condition. Nothing we provide is legal, tax, accounting, investment or financial advice. Acquisition readiness and business strategy guidance is educational; consult licensed professionals before making legal or financial decisions.
Assessments and diagnostics. Scores and reports from the AI Readiness Diagnostic, Executive Performance Profile, 360 feedback and similar tools are indicators to guide discussion. They are not guarantees, certifications or employment decisions. 360 feedback reflects the views of the people who provide it, not the views of QPS.
No guaranteed results. Outcome figures shown on the Site, such as improvements in decision-making or team performance, reflect past client experience. They are not a promise of the results you will achieve.
Your decisions. You remain solely responsible for your decisions, actions and results, including how you or your organization adopt technology and AI tools.
Our materials. The Site and all QPS content, including the QPS Method, frameworks, assessments, question sets, scoring models, workbooks, slides, recordings, training resources, logos and trademarks, are owned by QPS or its licensors and protected by law.
Your license. When you take part in a program, we grant you a personal, non-exclusive, non-transferable license to use the materials provided to you for your own development, or for internal use within your organization if it is the client. You may not copy, resell, publish, record, teach from or adapt QPS materials to create competing products without our written permission.
Your content. You keep ownership of the information and materials you provide to us. You grant QPS a limited license to use them only to deliver our services. Reports prepared for an organizational client may be used internally by that client; QPS keeps ownership of its underlying tools and methods.
Confidentiality. We keep what you share in coaching and consulting confidential, subject to our Privacy Policy, any reporting agreed in a Service Agreement, and disclosures required by law or needed to prevent serious harm. You agree to keep confidential any non-public QPS materials and pricing, and anything other participants share in group or cohort sessions.
Anonymized insights. We may use de-identified, aggregated data from assessments and programs to improve our services and publish research. It will never identify you or your organization without permission.
Testimonials. We will only publish your name, logo or testimonial with your permission.
Rewards + Referral Program. Referral rewards, if any, are paid only for referrals that become paying clients, under the program terms we confirm to you in writing. We may change or end the program at any time without affecting rewards already earned.

We may suspend or end access to the Site or our services for anyone who breaks these rules.
Third-party services. We use third-party providers to run parts of our services, including HubSpot (forms, CRM and meeting scheduling), Stripe (payments), Google Workspace (email, surveys and documents) and video-meeting platforms. Your use of those services is also subject to their own terms. The Site links to third-party websites, such as our LinkedIn, Instagram and Facebook pages and news coverage. We are not responsible for third-party sites, services or their content.
Disclaimer. The Site, its free resources and our assessments are provided "as is" and "as available." To the fullest extent the law allows, QPS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Site will be uninterrupted or error-free. We will perform paid services with reasonable care and skill.
Limitation of liability. To the fullest extent the law allows:
Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
Indemnity. You agree to indemnify and hold harmless QPS, its owners, staff and coaches from claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site or our materials, or information you provide that infringes someone else's rights.
Governing law. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Mandatory consumer protections in your country of residence still apply.
Resolving disputes. If a dispute arises, contact us first. Both sides agree to try to resolve it in good faith within 30 days. If that fails, either side may bring the dispute in the state or federal courts located in Orange County, Florida, and both sides consent to those courts' jurisdiction. Either side may seek urgent injunctive relief in any competent court to protect confidential information or intellectual property.
Termination. You may stop using the Site at any time. Paid engagements end as set out in Section 3 or your Service Agreement. QPS may end an engagement for serious or repeated breach of these Terms; in that case, fees for services already delivered remain payable. Sections on fees owed, intellectual property, confidentiality, disclaimers, liability, indemnity and disputes survive termination.
Changes to these Terms. We may update these Terms from time to time. We will post the new version on this page and update the "Last Updated" date. For material changes, we will notify active clients by email at least 14 days before they take effect. Changes do not apply retroactively to engagements already paid for.
General. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms without our written consent. QPS is not liable for delays caused by events beyond its reasonable control. These Terms, the Privacy Policy and any Service Agreement are the entire agreement between us about their subject.
